TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the websites, software, communication tools, automation services, artificial intelligence features, websites, integrations, and related services provided by U-TECH High Performance LLC d.b.a. Bookaro (“Bookaro,” “we,” “us,” or “our”).

By accessing or using our website, purchasing or subscribing to our services, creating an account, or otherwise using the Bookaro services, you agree to these Terms.

2. DESCRIPTION OF SERVICES

Bookaro provides software-enabled lead communication and business automation services for businesses, including home service businesses and other service providers.

Depending on the service package, configuration, or agreement selected, Bookaro services may include:

• missed-call text-back automation;

• website chat and messaging widgets;

• automated SMS conversations;

• AI-assisted lead conversations;

• lead intake and qualification;

• lead notifications;

• lead follow-up workflows;

• customer relationship management tools;

• phone number and messaging configuration;

• templated or customized websites;

• website hosting or management;

• workflow automation;

• third-party software integrations; and

• related implementation, maintenance, and support services.

Specific services provided to a customer are determined by the applicable order, checkout page, proposal, service agreement, subscription plan, or other written description of services.

Bookaro may modify, add, improve, replace, or discontinue features from time to time.

3. ELIGIBILITY AND BUSINESS USE

The Bookaro services are intended primarily for legitimate business and commercial use.

By using the services, you represent that:

• you are at least 18 years old;

• you have authority to enter into these Terms;

• any business information you provide is accurate and current;

• you will use the services only for lawful purposes; and

• you have the necessary rights, permissions, and authority to provide any data, contact information, content, telephone numbers, domains, or other materials submitted to Bookaro.

If you use Bookaro on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

4. ACCOUNT AND BUSINESS INFORMATION

You agree to provide accurate, complete, and current information when requested.

You are responsible for maintaining the confidentiality and security of account credentials provided to you or used in connection with third-party platforms.

You are responsible for activities occurring through accounts under your control, except to the extent caused directly by Bookaro’s breach of its obligations.

You must promptly notify Bookaro if you suspect unauthorized access to an account or service connected with Bookaro.

5. SUBSCRIPTIONS AND BILLING

Certain Bookaro services are offered on a recurring subscription basis.

By purchasing a recurring subscription, you authorize Bookaro and its payment processors to charge the payment method on file for recurring subscription fees and any other authorized charges associated with the services.

Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each billing period until canceled.

Prices, billing periods, included services, usage allowances, and other commercial terms will be disclosed on the applicable checkout page, order form, proposal, service agreement, or subscription description.

You are responsible for maintaining a valid payment method.

Applicable taxes may be added to charges where required by law.

6. USAGE-BASED CHARGES

Certain telecommunications, messaging, artificial intelligence, email, calling, phone number, or other services may involve usage-based charges.

Where applicable, usage-based costs may:

• be included within a stated allowance;

• be subject to overage charges;

• be billed separately;

• be passed through to the customer; or

• be subject to limits stated in an applicable service description or agreement.

Customers are responsible for reviewing the pricing and usage terms applicable to their selected service.

7. FREE TRIALS AND PROMOTIONAL OFFERS

Bookaro may offer free trials, discounted periods, credits, or other promotional offers.

Terms applicable to a promotion will be disclosed at the time the offer is made.

Unless otherwise stated, only one free trial or introductory promotion may be used per person, company, or associated business.

Bookaro may modify or discontinue promotional offers at any time, subject to applicable law and any commitments already made to existing customers.

Where a trial automatically converts to a paid subscription, the applicable checkout or signup process will disclose the conversion terms and recurring charge authorization before payment information is submitted.

8. CANCELLATION

Customers may cancel recurring Bookaro services by contacting Bookaro at [email protected] or through any cancellation method made available within the customer account or billing portal.

Unless otherwise stated in a separate written agreement, cancellation prevents future subscription renewals but does not automatically provide a refund for amounts already paid.

Services may remain available through the end of the already-paid billing period unless otherwise stated.

Cancellation of Bookaro services may result in the termination or loss of access to websites, phone numbers, automations, conversations, workflows, CRM records, integrations, or other systems managed through Bookaro or third-party platforms.

Customers are responsible for requesting any permitted data export before termination.

9. REFUNDS

Except where required by law or expressly stated in a separate written guarantee, order form, checkout page, or service agreement, payments made to Bookaro are non-refundable once the applicable service period has begun.

Bookaro may issue refunds, credits, or billing adjustments at its discretion.

Nothing in this section limits any rights that cannot legally be waived.

10. CUSTOMER RESPONSIBILITIES

Customers are responsible for:

• using the services lawfully;

• providing accurate business information;

• ensuring their marketing and communications comply with applicable laws;

• obtaining any legally required consent before contacting individuals;

• maintaining accurate opt-in and consent records where required;

• honoring opt-out, unsubscribe, and do-not-call requests;

• providing accurate information about their own business, services, pricing, scheduling, and policies;

• reviewing automated workflows and AI instructions for accuracy;

• monitoring communications where human review is appropriate;

• maintaining appropriate licenses, registrations, and insurance for their own business; and

• complying with industry-specific laws applicable to their business.

Bookaro does not provide legal advice and does not guarantee that a customer’s use of any communication channel, campaign, workflow, or messaging content will comply with every law applicable to that customer.

11. SMS AND TELEPHONE COMMUNICATIONS

Bookaro provides tools that may facilitate SMS, telephone, and automated communications.

Customers using these services are responsible for ensuring they have an appropriate lawful basis and any required consent to contact recipients.

Customers may not use Bookaro services to:

• send unlawful spam;

• contact persons in violation of applicable consent requirements;

• continue messaging persons who have validly opted out;

• send fraudulent, misleading, abusive, threatening, or unlawful content;

• engage in illegal lead generation practices;

• misrepresent the identity of the sender; or

• evade carrier, platform, registration, or messaging requirements.

Message frequency may vary.

Message and data rates may apply to recipients depending on their wireless service plans.

Where applicable, recipients may opt out of recurring automated text communications by replying STOP or using another clearly communicated opt-out method. Recipients may reply HELP for assistance where supported.

Consent to receive marketing text messages is not a condition of purchasing goods or services unless legally permitted and clearly disclosed.

12. AI-ASSISTED SERVICES

Some Bookaro services may use artificial intelligence or automated systems to assist with conversations, lead intake, responses, summaries, classification, or workflow actions.

AI-generated outputs may be incomplete, inaccurate, delayed, or inappropriate for a specific circumstance.

Customers are responsible for determining whether automated outputs are appropriate for their business and for providing correct business information and instructions used to configure automated conversations.

Bookaro does not guarantee that AI-generated conversations will result in appointments, sales, revenue, or any other specific business outcome.

Customers should not configure Bookaro’s AI services to provide legal, medical, financial, emergency, or other regulated professional advice unless they have independently determined that such use is lawful and appropriate.

13. EMERGENCIES

Bookaro is not an emergency response service.

Customers should not rely on Bookaro, AI conversations, chat widgets, automated text messages, or other automated systems for emergencies involving immediate threats to life, health, safety, or property.

Customers operating businesses that receive emergency or urgent service requests remain responsible for establishing appropriate human monitoring and escalation procedures.

14. THIRD-PARTY SERVICES

Bookaro may use or integrate with third-party providers, including providers of:

• customer relationship management software;

• telecommunication services;

• SMS and telephone services;

• payment processing;

• website hosting;

• artificial intelligence;

• email delivery;

• domain registration;

• analytics; and

• other software infrastructure.

Your use of third-party services may also be subject to the terms and policies of those providers.

Bookaro is not responsible for outages, changes, suspensions, delivery failures, carrier filtering, account restrictions, or other issues caused by third-party services beyond Bookaro’s reasonable control.

15. MESSAGING REGISTRATION AND DELIVERABILITY

Messaging services may be subject to carrier requirements, registration processes, identity verification, campaign registration, telecommunications provider review, and other compliance procedures.

Bookaro does not guarantee:

• approval of any messaging registration;

• approval within a specific timeframe;

• uninterrupted message delivery;

• delivery of every text message;

• availability of a specific telephone number;

• carrier acceptance of any campaign; or

• freedom from carrier filtering or platform restrictions.

Customers agree to provide accurate information required for messaging registration and compliance purposes.

16. WEBSITE SERVICES

Where Bookaro provides a website, landing page, website template, hosting, domain connection, or related service:

• the customer is responsible for the accuracy and legality of business content;

• the customer represents that it has permission to use submitted logos, images, testimonials, trademarks, and other materials;

• templates, automation structures, underlying systems, and Bookaro-created processes remain subject to Bookaro’s intellectual property rights;

• third-party software and templates may remain subject to third-party licensing terms; and

• continued hosting or operation may require an active Bookaro subscription.

Unless otherwise agreed in writing, a complimentary website provided as part of an active service subscription is not a separately purchased website asset and Bookaro is not obligated to provide an export, migration, or transfer of the website after cancellation.

Customer-owned domains remain the property of the customer, subject to the terms of the applicable registrar.

17. INTELLECTUAL PROPERTY

Bookaro and its licensors retain all rights in Bookaro’s software configurations, service methods, workflows, templates, designs, branding, website content, documentation, processes, systems, and other proprietary materials, except for materials owned by customers or third parties.

Customers retain ownership of their pre-existing business names, logos, original content, customer data, and other materials they lawfully provide to Bookaro.

No rights are transferred except as expressly stated in writing.

18. ACCEPTABLE USE

You may not use the services to:

• violate any law or regulation;

• send unlawful spam or communications;

• impersonate another person or business;

• infringe intellectual property rights;

• distribute malware or malicious code;

• interfere with the security or operation of the services;

• attempt unauthorized access to systems or accounts;

• conduct fraudulent or deceptive activity;

• harass, threaten, or abuse others;

• collect information unlawfully; or

• use the services in a manner that creates unreasonable legal, technical, security, or reputational risk for Bookaro or its service providers.

19. SUSPENSION OR TERMINATION

Bookaro may suspend or terminate services if:

• fees remain unpaid;

• the customer violates these Terms;

• continued service creates legal, compliance, security, fraud, carrier, or platform risk;

• a third-party provider suspends or restricts required services;

• the customer provides false or misleading information; or

• suspension or termination is reasonably necessary to protect Bookaro, users, service providers, or third parties.

Where reasonably practical, Bookaro may provide notice and an opportunity to correct the issue.

20. SERVICE AVAILABILITY

Bookaro works to provide reliable services but does not guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of:

• maintenance;

• software updates;

• third-party outages;

• internet or telecommunications failures;

• carrier disruptions;

• security incidents;

• force majeure events; or

• circumstances outside Bookaro’s reasonable control.

21. NO GUARANTEE OF RESULTS

Bookaro does not guarantee any particular number of:

• leads;

• responses;

• appointments;

• booked jobs;

• sales;

• customers;

• revenue;

• conversion rates; or

• business outcomes.

Results vary based on many factors, including lead volume, lead quality, customer response procedures, market conditions, pricing, reputation, service quality, and customer implementation.

22. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

BOOKARO DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY LEGALLY BE DISCLAIMED.

BOOKARO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY BUSINESS USE CASE.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKARO AND U-TECH HIGH PERFORMANCE LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR REPUTATIONAL HARM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKARO’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO BOOKARO DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply in every circumstance.

24. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless U-TECH High Performance LLC d.b.a. Bookaro and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, losses, penalties, damages, and reasonable expenses arising from:

• your unlawful use of the services;

• your violation of these Terms;

• your violation of applicable communication, privacy, advertising, or marketing laws;

• content or data supplied by you;

• your business operations; or

• your infringement of another party’s rights.

25. PRIVACY

Bookaro’s collection and use of personal information is described in the Bookaro Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

26. CHANGES TO THESE TERMS

Bookaro may update these Terms from time to time.

When material changes are made, Bookaro will update the “Last Updated” date and may provide additional notice where appropriate or required by law.

Continued use of the services after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.

27. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles.

Unless otherwise required by applicable law or agreed in writing, disputes arising from these Terms or the Bookaro services will be brought in the appropriate state or federal courts serving Marion County, Indiana, and the parties consent to the jurisdiction of those courts.

28. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

29. NO WAIVER

Failure by Bookaro to enforce a provision of these Terms does not waive Bookaro’s right to enforce that provision or any other provision in the future.

30. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable order form, checkout terms, proposal, subscription description, or written service agreement, constitute the agreement between you and Bookaro regarding the applicable services.
